Terms of Service

1. Acceptance of Terms

By accessing or using Vibeful's desktop application, website (www.vibeful.io), APIs, cloud services, or any related tools (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.

If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Vibeful provides AI-powered productivity tools including a desktop application, cloud AI agents, document generation and hosting, scheduled task automation, and related features. The Service may integrate with third-party AI providers (OpenAI, Anthropic, DeepSeek, etc.) to process your requests.

Features, pricing, and availability may change as we continue to develop the product. We will provide reasonable notice of material changes.

3. Account Registration

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the security of your account credentials.
  • You must notify us immediately of any unauthorized use of your account.
  • You must be at least 18 years old to use the Service.

4. Your Content

Ownership:You retain all rights to content you create, upload, or submit to the Service (“Your Content”). We do not claim any intellectual property rights over Your Content.

License: By using cloud features, you grant us a limited license to host, store, and transmit Your Content solely to provide the Service to you. This license terminates when you delete Your Content or close your account.

Shared Documents: When you share documents via hosted links, recipients can access the content at the permission level you set (view, comment, edit). You are responsible for the content you share.

5. AI-Generated Content

The Service uses AI models to generate content (“AI Output”) based on your inputs. You acknowledge that:

  • AI Output may contain errors, inaccuracies, or biases. You are responsible for reviewing and verifying all AI Output before use.
  • AI Output is provided “as is” without warranties of accuracy, completeness, or fitness for any purpose.
  • You are responsible for ensuring your use of AI Output complies with applicable laws and regulations.
  • Similar inputs from different users may produce similar or identical AI Output. We do not guarantee uniqueness.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation.
  • Generate content that is harmful, abusive, fraudulent, or infringes on others' rights.
  • Attempt to reverse-engineer, decompile, or extract source code from the Service.
  • Circumvent usage limits, rate limits, or access controls.
  • Interfere with the Service's operation or other users' access.
  • Share your account credentials with others or allow unauthorized access.
  • Use automated means to access the Service beyond its intended APIs.

7. Billing and Payments

Subscriptions: Paid plans are billed monthly (or annually if selected). Your subscription renews automatically unless cancelled before the renewal date.

AI Credits: Each paid plan includes a monthly allocation of AI credits. Credits are consumed when you use built-in AI features. Unused credits do not carry over to the next billing period.

Usage-Based Billing:Usage beyond your included credits is billed at the AI provider's rate plus a service fee (currently 5%; 20% for Max Mode). You can set spending limits in your account settings.

Cloud Agent: Always-on Cloud Agent is an optional add-on billed separately at $10/month per agent.

Refunds: We handle refund requests on a case-by-case basis. Contact us at info@vibeful.io within 14 days of your charge.

8. Free Tier and API Keys

The free tier provides full access to the desktop application. You may use your own AI provider API keys, in which case your usage is governed by that provider's terms and pricing. We are not responsible for charges incurred through your own API keys.

9. Intellectual Property

The Service, including its design, code, documentation, and branding, is owned by Vibeful and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or other brand features.

10. Third-Party Services

The Service integrates with third-party AI providers and other services. Your use of these integrations is subject to the respective third party's terms and privacy policies. We are not responsible for the availability, accuracy, or content of third-party services.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIBEFUL IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or if continued service is not commercially viable. Upon termination, your right to use cloud features ends, but your locally stored data remains yours.

13. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will update the effective date and notify you through the Service or by email. Your continued use after changes take effect constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be resolved in the courts of England and Wales, except where consumer protection laws in your jurisdiction provide otherwise.
